Terms and Conditions
These Terms and Conditions apply to sourcing, quality control, logistics, and import assistance services provided to businesses.
1. Scope of Application
These General Terms and Conditions apply to all offers, contracts, and services of Tiefblaues Meer UG (haftungsbeschränkt) provided to businesses within the meaning of Sec. 14 of the German Civil Code (BGB), legal entities under public law, and special funds under public law. Consumers within the meaning of Sec. 13 BGB are not addressed.
Deviating, conflicting, or supplementary terms of the client shall only become part of the contract if we expressly agree to their validity in writing.
2. Services
We support clients in product search, manufacturer identification, price comparison, price negotiation, quality control, sample coordination, logistics alignment, and import assistance. The specific scope of services is determined by the respective offer, service description, or individual agreement.
Unless expressly agreed as a quality guarantee, we owe professional service provision, but no specific economic success, supplier closing, or import success.
3. Formation of Contract
Our offers are subject to change unless expressly designated as binding. A contract is concluded by acceptance of our offer, written order confirmation, or commencement of performance.
4. Client's Duties to Cooperate
The client shall provide all information, specifications, drawings, certification requirements, product data, and approvals required for performance in a timely, complete, and correct manner. Delays or additional costs due to missing or faulty cooperation shall be borne by the client.
5. Manufacturers, Samples, and Quality Inspections
Supplier information, quotes, samples, and inspection reports are based on the information available and the agreed scope of inspection. Quality inspections are random samples or defined inspection services and do not replace the client's own final inspection, product liability check, certification, or legal import inspection.
6. Prices, Payment, and Offsetting
Prices are net plus statutory VAT, if applicable. Travel costs, inspection costs, sample costs, shipping costs, duties, taxes, storage costs, and third-party fees will be billed separately unless expressly included in the offer.
Invoices are due without deduction within 14 days of the invoice date. Offsetting is only permitted with undisputed or legally established claims.
7. Deadlines and Delivery Times
Dates and deadlines are only binding if expressly confirmed as binding. Delays caused by manufacturers, inspection providers, authorities, logistics companies, customs clearance, force majeure, or lack of client cooperation are outside our responsibility.
8. Import, Customs, and Compliance
The client remains responsible for the importability, product safety, labeling, approvals, intellectual property rights, technical standards, marketability, and compliance with industry-specific regulations, unless a separate inspection has been expressly agreed upon.
9. Confidentiality
Both parties shall treat confidential information of the other party confidentially and use it only to perform the contract. This obligation does not apply to information that is publicly known, lawfully obtained from third parties, or disclosed due to legal obligations.
10. Rights of Use
Work results, reports, research, and documentation may be used by the client for the contractually intended purpose. Transfer to third parties or further use is only permitted if agreed or required for project execution.
11. Liability
We are liable without limitation in cases of intent, gross negligence, injury to life, body, or health, and in accordance with mandatory statutory regulations. In cases of simple negligence, we are liable only for breaches of material contractual duties; in this case, liability is limited to foreseeable, contract-typical damage.
12. Term and Termination
Project contracts terminate upon completion of the agreed services. The right to terminate for cause remains unaffected. Services already rendered and costs incurred must be compensated in the event of termination.
13. Final Provisions
German law shall apply to the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG). The place of jurisdiction for merchants, legal entities under public law, and special funds under public law is the registered office of the company, to the extent legally permissible. Should individual provisions be invalid, the validity of the remaining provisions shall remain unaffected.
